Gold Reserve Ltd. (“Gold Reserve” or the “Company) is a Bermuda corporation originally formed to engage in the business of acquiring, exploring and developing mining projects. Our Class A common shares are listed for trading on the TSX Venture Exchange and quoted on the OTCQX under the symbols GRZ and GDRZF, respectively. Prior to 2008, the Company’s principal business was the exploration and development of a mining project in Venezuela known as the "Brisas Project." In 2008, the Venezuelan government terminated the Brisas Project. In October 2009, the Company initiated an ICSID claim to obtain compensation for the losses caused by the actions of Venezuela. On September 22, 2014, we were granted an award (the “Award”) totaling $740.3 million plus post-Award interest. The Company’s recent focus has been on collecting the Award, most recently through legal proceedings in the U.S District Court for the District of Delaware. In 2016, Venezuela and the Company agreed to jointly develop the the Siembra Minera Project, which includes the Brisas Project. In March 2022, the Venezuelan Ministry of Mines issued a resolution to revoke the mining rights of Siembra Minera. In March 2025, the Company filed a request with ICSID for a second arbitration against Venezuela to obtain compensation for the revocation of the Siembra Minera mining rights.
